Terms of Service — SCRAPSTER™

1. Acceptance of Terms

By accessing or using SCRAPSTER™ ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Platform. SCRAPSTER™ is operated by SCRAPSTER LLC.

2. Description of Service

SCRAPSTER™ is a platform that connects scrap metal buyers and sellers, providing real-time pricing, yard finder services, business directories, scrap metal law information, and related tools for the scrap metal industry.

⚠️ Business Subscriber Restrictions

If you are a business subscriber, yard owner, or company using our professional services, you are subject to additional restrictions outlined in Section 8 below. These restrictions are legally binding and violation may result in immediate termination and legal action.

3. User Account and Registration

3.1 Account Requirements

You must provide accurate, current, and complete information during registration
You are responsible for maintaining the security of your account credentials
You must notify us immediately of any unauthorized access to your account
You may not share your account credentials with third parties

3.2 Business Registration

Business accounts require verification and approval by SCRAPSTER™
You must provide valid business documentation and licensing information
False or misleading business information may result in account termination
Business accounts are subject to additional terms outlined in Section 8

4. Acceptable Use Policy

You agree not to:

Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law
Transmit any advertising or promotional material without our prior written consent
Impersonate SCRAPSTER™, its employees, another user, or any other person or entity
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
Use any automated system to access the Platform for any purpose without authorization
Attempt to gain unauthorized access to any portion of the Platform

5. Intellectual Property Rights

5.1 SCRAPSTER™ Property

The Platform and its original content, features, and functionality are and will remain the exclusive property of SCRAPSTER LLC and its licensors. The Platform is protected by copyright, trademark, and other laws. SCRAPSTER™ is a registered trademark of SCRAPSTER LLC.

5.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant SCRAPSTER™ a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content in connection with the Platform.

6. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Platform, to understand our practices.

7. Subscription Services and Payments

7.1 Subscription Tiers

Free: Basic yard search access with limited features
Scrapper Pro: Enhanced pricing and search tools
Business: Company portal and listing management

7.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis
All fees are non-refundable except as required by law
We reserve the right to change subscription fees with 30 days notice
Failure to pay fees may result in account suspension or termination

Section 8: Business Subscriber Restrictions

This section applies to all business subscribers, yard owners, companies, and users of our professional services:

8.1 Confidentiality and Non-Disclosure

You acknowledge that the Platform contains proprietary and confidential information
You agree not to disclose, share, or reveal any technical aspects, algorithms, business methods, or operational procedures of the Platform
You may not reverse engineer, decompile, or attempt to extract source code from the Platform
You may not share your login credentials or allow unauthorized access to your business account

8.2 Non-Compete and Business Restrictions

You agree not to use information obtained from SCRAPSTER™ to develop, create, operate, or assist in creating a competing platform or service
You may not copy, replicate, or create derivative works based on SCRAPSTER™'s design, functionality, or business model
You may not use our platform to recruit our users for competing services
You may not systematically download or scrape data from the Platform for competitive purposes

8.3 Data Usage Restrictions

Business data you submit is for platform use only — you may not export it en masse for use elsewhere
You may not use other businesses' contact information for solicitation outside the Platform
Pricing data may only be used for legitimate business transactions through the Platform
You may not aggregate or redistribute SCRAPSTER™ data to third parties

8.4 Termination Consequences

Upon termination, you must immediately cease use of all SCRAPSTER™ intellectual property
You must delete any downloaded data or materials from the Platform
Confidentiality obligations survive termination indefinitely
SCRAPSTER™ reserves the right to pursue legal remedies for violations

9. Content and Conduct

9.1 Pricing Information

Businesses are responsible for the accuracy of their pricing information
SCRAPSTER™ does not guarantee price accuracy and is not liable for pricing errors
Users acknowledge that prices are subject to change without notice

9.2 Business Listings

Business information must be accurate and up-to-date
Fake or misleading business listings are prohibited
SCRAPSTER™ reserves the right to verify business information

10. Disclaimers and Limitation of Liability

10.1 Platform Disclaimer

The Platform is provided "as is" without warranties of any kind. SCRAPSTER™ disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10.2 Limitation of Liability

SCRAPSTER™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

10.3 Third-Party Content

SCRAPSTER™ is not responsible for content provided by third parties, including user-generated content, business listings, or external links.

11. Indemnification

You agree to defend, indemnify, and hold harmless SCRAPSTER™, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Platform or violation of these Terms.

12. Termination

12.1 Termination by User

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will cease immediately.

12.2 Termination by SCRAPSTER™

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including but not limited to breach of these Terms.

12.3 Effect of Termination

All provisions of the Terms which by their nature should survive termination shall survive
Business subscribers must comply with Section 8.4 termination procedures
No refunds will be provided for unused subscription periods

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be interpreted and governed by the laws of the State of Illinois, without regard to conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Your continued use of the Platform after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law.
